A US private placement replaces cheaper notes a year before they fall due.

What happened

Manchester United placed $550m of 5.36% secured notes due June 2031 with institutional investors. The proceeds prepaid its $425m of 3.79% notes due June 2027, and the balance is available for general corporate purposes. The maturity of the club's term facility moved from August 2029 to June 2031 at the same time.

How it was structured

The notes were sold privately under Regulation D rather than through a public offering, which is the same market the club used for its earlier notes. Aligning the term facility with the new notes leaves the notes and term facility maturing together in 2031.

Our review

Refinancing a year early removes the near-term maturity, but it has a price. On simple arithmetic, annual interest on these notes rises from about $16m to about $29m. Even the strongest brands in the sport are now replacing debt written in a lower-rate era.
